Business Contracts and Transactions

Contract Management

VeriLex understands that for clients to manage the contracts they have is often a challenge particularly when there are lots of them. Investments made, and benefits received in properly setting up contracts can often be impacted or undone if these contracts are not managed well.  This can lead to adverse impact for the business in areas around delay, performance issues, cost liabilities and disputes. It is important for clients to stay on top of these contracts to ensure they receive from the other side what they expected to get when they entered into the contract. Poor contract management may lead to a loss of rights, and benefit which may not be able to be reversed.

GDPR: There has been a lot of noise around GDPR particularly focusing on the new compliance burden and the penalties for data breaches. 

Complacency is not really an option and it should not be underestimated the amount of work that may be required to become GDPR compliant.  We look to work with our clients to identify what needs to be done within their businesses and how best to do it.

 

VeriLex’s recommended GDPR strategy for clients starts with a simple 3 step process:

Provide an Audit/Gap analysis – VeriLex prepares a questionnaire (tailored and relevant to your business you may have in Europe) the answers to which will give us, for example, detailed information on what data you hold, how you hold it, how you process it, who you share it with (including internally and across borders).

Provide Recommendations – VeriLex produces a report giving a series of practical recommendations for the client to ensure they are GDPR ready and compliant.

Undertake or assist with Implementation – you, with VeriLex’s support if you want it, then decide how, when and who best to implement the recommendations and lead any requisite changes to policies and procedures.

 

Intellectual Property

Intellectual property can set a business apart from its competitors. Company’s need to be thinking, as early as possible, about what Intellectual Property they might be creating, who owns it, and how they can control and exploit it, whilst not forgetting what they can do to prevent it from being taken, used or stolen.

This can get very complicated, and things aren't always as they might seem.
